Capital Description:

China Development Bank provided a US$629 million loan facility to Lekki Port LFTZ Enterprise Limited to support the completion of Phase 1 of the Lekki Deep Sea Port project in Lagos, Nigeria.

The financing agreement was signed in October 2019 following negotiations to secure the debt component required for completion of the port. The financing was structured as project-level debt rather than a sovereign borrowing by the Federal Government of Nigeria.

The financing supported the development of Phase 1 of the deep-water port, which comprises two container berths and associated infrastructure. China Development Bank identifies the project as having a total investment of approximately US$995 million and describes its loan commitment as US$629 million.

The financing reached an important implementation milestone in April 2021 when the first US$60 million tranche was disbursed after the project company satisfied the conditions precedent for release of the funds.

The financing was part of a wider capital structure supporting the port. Other project funding included equity contributions, including a reported US$221 million equity injection by China Harbour Engineering Company, while other international financial institutions were also involved in the broader financing structure.

Key Development:

China Development Bank's US$629 million commitment provided a major debt-financing component for the completion of Phase 1 of the Lekki Deep Sea Port. The financing helped move the project from prolonged development uncertainty into active construction and completion.

The port subsequently reached completion and commenced commercial operations in 2023.

Key Risk:

The principal historical financing risk was execution and timely utilisation of the committed facility, given the project's long development period and the conditions precedent attached to disbursement.

The broader project also depended on the successful mobilisation of equity and other financing sources, construction completion and the ability of the completed port to generate sufficient commercial activity to support its investment structure.

Commercial Opportunity:

Financing opportunity: Closed

Construction financing opportunity: Closed

Current capital opportunity: Developing

Potential future opportunities may arise from expansion of the port's capacity, additional terminal infrastructure, logistics facilities, inland connectivity and related maritime infrastructure requiring new debt, equity or structured finance.
